1. Acceptance of Terms

Welcome to M-Pay. These Terms of Use (“Terms”) constitute a legally binding agreement between you (the “User,” “you,” or “your”) and Media Pay (operating as M-Pay), a registered Money Services Business in Canada (MSB Registration: C100000603) (“M-Pay,” “we,” “us,” or “our”).

By accessing or using our platform, services, or website (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

IMPORTANT: These Terms contain provisions that limit our liability and require individual arbitration for any disputes. Please read them carefully.

2. Services Description

M-Pay provides institutional fiat-to-cryptocurrency conversion services, enabling businesses to:

  • On-Ramp Services: Convert fiat currencies (GBP, USD, EUR) into stablecoins (USDT, USDC)
  • Off-Ramp Services: Convert stablecoins (USDT, USDC) into fiat currencies
  • Multi-Network Support: Transactions on Ethereum, Polygon, Tron, and Solana networks
  • Global Banking: Fiat settlements to bank accounts in 130+ countries

M-Pay acts as an intermediary and service provider. We do not provide investment advice, financial planning, or custody services beyond transaction processing.

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Represent a legally registered business entity with valid documentation
  • Have the legal capacity to enter into binding contracts
  • Not be located in, or a resident of, a country subject to international sanctions or embargoes
  • Not be on any sanctions lists, including but not limited to OFAC, UN, EU, or Canadian sanctions lists
  • Not have been previously suspended or banned from using M-Pay Services
  • Comply with all applicable local laws and regulations regarding cryptocurrency transactions

We reserve the right to refuse service to anyone for any lawful reason, including failure to meet eligibility requirements.

4. Account Registration and Verification

4.1 Registration Requirements

To create an account, you must:

  • Provide accurate, complete, and current information
  • Submit all required documentation for KYC/AML verification
  • Maintain the accuracy of your account information
  • Notify us immediately of any unauthorized access to your account

4.2 KYC/AML Verification

As a licensed MSB, we are required by law to verify your identity. You agree to:

  • Provide government-issued identification documents
  • Undergo identity verification through our third-party providers
  • Submit to sanctions screening and adverse media checks
  • Provide source of funds documentation when requested
  • Undergo periodic re-verification as required by law or our policies

We reserve the right to request additional documentation at any time and may suspend or terminate your account if you fail to provide requested information.

4.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • Enabling two-factor authentication (2FA) on your account
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

5. Prohibited Activities

You agree NOT to use our Services for any illegal or prohibited purpose, including but not limited to:

  • Money Laundering: Any activity designed to conceal the source or destination of funds
  • Terrorist Financing: Providing funds or support to terrorist organizations
  • Fraud: Any fraudulent, deceptive, or manipulative activity
  • Sanctions Violations: Transactions involving sanctioned countries, entities, or individuals
  • Illegal Activities: Drug trafficking, weapons sales, human trafficking, or other criminal activities
  • Market Manipulation: Price manipulation, wash trading, or other manipulative practices
  • Hacking: Unauthorized access, reverse engineering, or attempting to compromise our systems
  • Account Abuse: Creating multiple accounts, using false identities, or circumventing limits

Violation of these prohibitions will result in immediate account suspension and may be reported to law enforcement.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, M-PAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

Our total liability to you for any claims arising from your use of our Services shall not exceed the greater of:

  • The fees you paid to M-Pay in the 12 months preceding the claim, or
  • CAD $1,000

BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE. YOU ALSO ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD OUR PRIVACY POLICY, DISCLAIMERS, AND DISCLOSURES.
